1. Overview
These Affiliate Terms apply to creators, affiliates, influencers, ambassadors, partners, and any person or entity approved to promote AthleteBrandCo. (“ABC,” “we,” “our,” or “us”) products or services in exchange for potential commissions.
By applying for, joining, or participating in the ABC Creator or Affiliate Program, you agree to these Affiliate Terms, our Terms of Service, Privacy Policy, and any additional program rules provided to you.
2. Eligibility
Participation is by application and approval only. To participate, you must provide accurate information and be legally able to enter into this agreement.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- You must provide accurate name, contact, tax, and payment information when requested.
- You must own or control the channels you use to promote ABC products.
- You must comply with all applicable laws, platform rules, advertising laws, and disclosure requirements.
3. Application Approval
Submission of an application does not guarantee acceptance. ABC may approve, deny, suspend, or remove affiliates at its discretion.
We may consider audience fit, brand alignment, content quality, promotional history, platform activity, engagement, compliance risk, and other business factors when reviewing applicants.
4. Commissions
Approved affiliates may earn commissions on eligible purchases made through valid affiliate links, codes, or tracking methods assigned by ABC.
- Commission rates may vary by product, campaign, affiliate tier, athlete drop, or promotion.
- ABC may change commission rates, eligible products, cookie windows, or campaign terms at any time.
- Commissions are calculated based on net eligible sales unless otherwise stated.
- Taxes, shipping, discounts, refunds, chargebacks, cancellations, and fraudulent purchases may be excluded from commission calculations.
5. Qualified Referrals
A qualified referral generally means a legitimate purchase by a real customer using your approved affiliate link, promo code, or tracking method, where the purchase is not refunded, canceled, disputed, or fraudulent.
Referrals may not qualify if:
- The order is canceled, refunded, returned, charged back, or flagged as fraudulent.
- The affiliate purchases through their own link or code unless ABC expressly allows it in writing.
- The sale results from prohibited advertising, misleading claims, spam, coupon abuse, or unauthorized promotion.
- The tracking cookie, code, or referral attribution is overwritten, expired, blocked, or otherwise not recorded.
6. Payouts
Payouts may be made according to the schedule, method, minimum threshold, and approval process established by ABC or our affiliate platform.
- Commissions may be held during a review period to account for refunds, returns, disputes, or fraud checks.
- A minimum payout threshold may apply.
- You are responsible for providing accurate payment and tax information.
- ABC may withhold or reverse commissions that violate these terms or are tied to invalid transactions.
- You are responsible for all taxes related to affiliate income.
7. Promotion Rules
Affiliates must promote ABC honestly, clearly, and in a way that protects the brand, athletes, customers, and platform.
- Use accurate descriptions of products, promotions, rewards, memberships, and athlete drops.
- Do not make false, exaggerated, or misleading claims about earnings, health benefits, athlete relationships, product availability, or guaranteed results.
- Do not claim to officially represent ABC unless authorized.
- Do not alter product images, athlete likenesses, logos, or brand assets in a misleading or damaging way.
- Comply with all social media platform rules and advertising policies.
8. Prohibited Activity
The following activities are prohibited and may result in commission reversal, suspension, or termination:
- Spam, unsolicited messages, deceptive DMs, or mass posting in groups where promotion is not allowed.
- False scarcity, fake reviews, fake testimonials, fake endorsements, or misleading claims.
- Paid search bidding on “AthleteBrandCo,” “ABC,” athlete names, product names, or confusingly similar terms without written permission.
- Cookie stuffing, forced clicks, hidden links, bot traffic, fake leads, fraudulent purchases, or self-referrals.
- Promotion on illegal, hateful, explicit, violent, discriminatory, or brand-unsafe websites or channels.
- Using athlete images, NIL, school marks, team marks, or league marks without proper authorization.
- Offering unauthorized discounts, coupons, rebates, cash-back incentives, or bonus offers.
- Misrepresenting backer opportunities, investment potential, revenue participation, or financial outcomes.
9. Brand Assets & Intellectual Property
ABC may provide approved logos, product images, banners, captions, videos, affiliate links, promotional copy, and other creative assets.
- You may only use ABC assets for approved promotional purposes.
- You may not modify assets in a way that is misleading, offensive, low quality, or inconsistent with brand standards.
- You may not register domains, usernames, trademarks, or pages that impersonate ABC or create confusion.
- ABC may ask you to remove or edit content at any time.
10. FTC & Advertising Disclosures
Affiliates must clearly disclose their relationship with ABC when promoting products, links, codes, or paid partnerships.
Disclosures must be clear, conspicuous, and placed where viewers will notice them before or when they see the affiliate recommendation.
- Examples may include: “I earn commissions from qualifying purchases,” “Affiliate link,” “Paid partnership,” or “Sponsored.”
- Hashtags such as #ad or #affiliate should be clearly visible and not hidden among many unrelated hashtags.
- You are responsible for complying with FTC rules and any platform-specific disclosure requirements.
11. Suspension Or Termination
ABC may suspend or terminate affiliate participation at any time, with or without notice, if we believe an affiliate has violated these terms, damaged the brand, created legal or compliance risk, or acted against the interests of ABC, athletes, customers, or partners.
Upon termination, you must stop using ABC affiliate links, promotional materials, logos, and any restricted assets. Pending commissions may be forfeited if tied to violations, fraud, prohibited activity, or invalid referrals.
