Backer Participation Disclaimer

1. Overview

This Backer Participation Disclaimer applies to individuals or entities who participate in, apply for, contribute to, sponsor, reserve access for, or otherwise support AthleteBrandCo. (“ABC,” “we,” “our,” or “us”) athlete-led product drops, campaigns, programs, or backer opportunities.

By participating as a backer, you acknowledge that you have read, understood, and agreed to this disclaimer, our Terms of Service, Privacy Policy, Refund Policy, and any additional written terms provided for a specific backer opportunity.

2. Not An Investment Offer

Backer participation is not an offer to sell securities, investment contracts, ownership interests, shares, membership interests, notes, bonds, or any other regulated financial instrument unless offered through a legally compliant written offering document.

• No equity ownership is granted unless expressly stated in a separate signed legal agreement.
• No securities are being offered through general website pages, marketing pages, or informal backer applications.
• No backer should rely on general marketing materials as investment advice or financial advice.
• Backer participation may be structured as sponsorship, preorder support, promotional participation, product reservation, VIP access, or another non-investment arrangement unless otherwise stated in writing.

3. No Guaranteed Returns Or Outcomes

ABC does not guarantee that any athlete drop, product launch, campaign, or backer opportunity will be profitable, successful, fully funded, sold out, repeated, distributed in retail, or continued.

• Past performance does not predict future results.
• Sales projections, revenue examples, and market estimates are hypothetical unless expressly stated otherwise.
• Backers should not participate with funds they cannot afford to lose or have tied up.
• No athlete, founder, creator, affiliate, or ABC representative may guarantee financial returns unless authorized in a legally compliant document.

4. Participation Risk

Backer participation may involve risk, including but not limited to delays, product changes, supply issues, manufacturing problems, athlete availability changes, regulatory limitations, poor sales performance, campaign cancellation, or changes in brand strategy.

You acknowledge that product development and limited drops may be affected by circumstances outside ABC’s control.

5. Perks, Benefits & Rewards

Backers may receive perks, recognition, early access, products, VIP benefits, promotional access, digital rewards, or other non-financial benefits depending on the specific opportunity.

• Perks may vary by tier, campaign, athlete, product, or availability.
• Perks are subject to change, substitution, delay, or cancellation.
• Digital rewards, QR unlocks, points, or status benefits generally have no cash value.
• Backer recognition may be removed if participation is refunded, canceled, disputed, or violates program rules.

6. Revenue Participation

If any campaign offers revenue participation, profit share, royalty share, repayment, or financial upside, those terms must be clearly stated in a separate written agreement reviewed and accepted by the participant.

• Revenue participation is not implied by use of the word “backer.”
• General website descriptions are not binding financial terms.
• Revenue participation may be subject to costs, refunds, chargebacks, taxes, campaign expenses, reporting rules, and other deductions.
• Any financial arrangement may require additional legal, tax, compliance, or eligibility review.

7. Athlete Relationships & NIL

Athlete involvement may vary by campaign. An athlete’s participation in a product drop does not necessarily mean the athlete is an owner, employee, officer, partner, shareholder, or guarantor of ABC or the campaign.

• Athlete availability, school status, team status, eligibility, NIL rules, league rules, or personal circumstances may change.
• Use of athlete name, image, likeness, signature, quotes, or branding is subject to applicable rights and agreements.
• Backers do not receive athlete NIL rights unless expressly granted in writing.
• Backers may not use athlete images, names, school marks, team marks, or league marks without authorization.

8. Limited Drops, Delays & Substitutions

Some backer opportunities may involve limited drops, preorders, product development, batch production, custom packaging, or campaign-based fulfillment.

• Estimated delivery dates are estimates only.
• Products, packaging, athlete branding, quantities, and launch dates may change.
• If an item becomes unavailable, ABC may offer a substitution, credit, refund, or other resolution based on the applicable campaign terms.
• Limited products may not be replaceable once sold out.

9. Compliance & Eligibility

ABC may restrict, deny, suspend, or cancel backer participation based on legal compliance, fraud risk, chargebacks, age, location, sanctions screening, payment issues, reputational risk, NIL rules, campaign limits, or other business reasons.

Backers are responsible for complying with all applicable laws and must provide accurate information when requested.

10. Tax Responsibility

Backers are responsible for understanding any tax consequences related to participation, rewards, perks, payments, credits, revenue participation, or other benefits.

ABC does not provide tax, legal, investment, or financial advice. Consult your own qualified professionals before participating.
